These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and logictone (“Service,” “we,” “us,” or “our”) governing your access to and use of our website, including any content, features, and functionalities provided herein (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms, as well as any additional guidelines, policies, or rules incorporated by reference herein. If you do not agree to these Terms, you must not use the Service.

1. Acceptance and Modification of Terms

1.1 Acceptance:
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be legally bound by these Terms. Continued use of the Service indicates your acceptance of any future modifications to these Terms.

1.2 Modifications:
We reserve the right, at our sole discretion, to modify, amend, or update these Terms at any time without prior notice. Any changes will be effective immediately upon posting on the Service. It is your responsibility to review these Terms periodically. Your continued use of the Service following any modifications constitutes acceptance of the revised Terms.

2. Description of the Service

2.1 Service Overview:
The Service is an online text-to-speech platform that allows Users to input text and have it converted into audio using their browser’s built-in text-to-speech (TTS) engine. Additional functionalities include real-time display of word, character, and line counts; adjustment of speech parameters such as speed, pitch, and accent; and the ability to mark favorite language settings and view conversion history. All such data is stored locally within your browser environment.

2.2 Limitations:
The Service currently does not offer a downloadable audio file feature. All conversions are provided for streaming or live listening only. The availability of languages and accents is subject to the capabilities of your browser’s TTS engine, and may vary between browsers and devices.

3. User Eligibility and Responsibilities

3.1 Eligibility:
You represent and warrant that you are at least 13 years of age, or the legal age required in your jurisdiction to form a binding contract, and that you have the authority to enter into these Terms.

3.2 Account and Local Data:
No user registration is required to use the Service. However, any settings, favorites, or conversion history are stored locally on your device and are not transferred between browsers or devices. You are solely responsible for maintaining the security and integrity of your local data.

3.3 User Conduct:
You agree to use the Service in compliance with all applicable local, state, national, and international laws and regulations. You further agree not to:

• Use the Service for any unlawful or prohibited purpose.
• Attempt to interfere with or disrupt the operation or security of the Service.
• Introduce any viruses, worms, or other harmful software into the Service.

4. User-Provided Content and Intellectual Property

4.1 User-Provided Content:
Any text or other content that you submit to the Service (“User Content”) remains your property. However, by submitting User Content, you grant us a non-exclusive, worldwide, royalty-free license to process and display such content solely for the purpose of providing the Service.

4.2 Intellectual Property Rights:
All content, trademarks, and intellectual property displayed on the Service, excluding User Content, are the property of logictone or its licensors. You agree not to reproduce, duplicate, copy, sell, or exploit any portion of the Service without express written permission from the rightful owner.

5. Disclaimers and Limitation of Liability

5.1 Disclaimer of Warranties:
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING, BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

5.2 Limitation of Liability:
IN NO EVENT SHALL THE SERVICE, ITS AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. YOUR SOLE AND EXCLUSIVE REMEDY FOR ANY DAMAGES IS TO CEASE USING THE SERVICE.

6. Indemnification

You agree to indemnify, defend, and hold harmless logictone, its officers, directors, employees, agents, licensors, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including without limitation reasonable attorneys’ fees and costs, arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

7. Termination

7.1 Termination by You:
You may discontinue using the Service at any time. Termination will not affect your accrued rights or obligations under these Terms.

7.2 Termination by Us:
We reserve the right, in our sole discretion, to suspend or terminate your access to all or part of the Service at any time, without notice, for any reason, including without limitation if we believe that you have violated these Terms or engaged in any conduct that may harm the Service or its Users.

8. Governing Law and Dispute Resolution

8.1 Governing Law:
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

8.2 Dispute Resolution:
Any disputes arising out of or relating to these Terms or the Service shall be resolved through good faith negotiation between the parties. If a resolution cannot be reached, the dispute shall be submitted to binding arbitration in accordance with the applicable arbitration rules. Notwithstanding the foregoing, we retain the right to seek injunctive or other equitable relief in any court of competent jurisdiction.

9. Miscellaneous

9.1 Severability:
If any provision of these Terms is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions of these Terms will remain in full force and effect.

9.2 Entire Agreement:
These Terms, together with any additional terms and policies referenced herein, constitute the entire agreement between you and logictone with respect to the use of the Service and supersede all prior or contemporaneous communications and proposals, whether oral or written.

9.3 No Waiver:
Our failure to enforce any provision of these Terms shall not be deemed a waiver of future enforcement of that or any other provision.

9.4 Assignment:
You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms at our discretion without notice to you.
